These Terms of Service govern your use of boundlessopportunitiesllc.online and the software development services provided by Boundless Opportunities LLC ("we", "us", "our"). By using this website or engaging us, you accept these terms.

2. Use of this website

You may use this website for lawful purposes only. You agree not to attempt to gain unauthorised access to any part of the site or its infrastructure, interfere with its operation, use automated systems to scrape or overload it, or submit false or misleading information through our forms.

All content on this website — text, layout, design, graphics, and code — is owned by Boundless Opportunities LLC and protected by copyright. You may not reproduce or republish it without written permission.

3. Enquiries and proposals

Information on this site describes our services in general terms and is not a binding offer. Submitting the contact form does not create a contract. Any quote or proposal we issue is valid for 30 days unless stated otherwise, and is based on the requirements described to us at that time.

4. Scope of work

Every engagement is governed by a written scope document or proposal setting out the deliverables, the price, the payment schedule, and the delivery timeline. That document, together with these terms, forms the agreement between us. Where the two conflict, the signed scope document takes precedence.

Anything not expressly listed as a deliverable is out of scope. Requests outside the agreed scope are quoted separately as a change order and only proceed once you approve them in writing.

5. Client responsibilities

Delivery depends on your input. You agree to provide content, credentials, access to third-party accounts, and decisions within the timeframes agreed, and to nominate one person authorised to approve work on your behalf. Delays in feedback or materials will move the delivery date by a corresponding amount.

You confirm that any content, trademarks, or data you supply to us are yours to use, and that our use of them will not infringe anyone else's rights.

6. Fees and payment

Project fees, deposits, and milestone amounts are set out in the scope document. Unless agreed otherwise, a deposit is payable before work begins and the balance is due on completion. Retainers are invoiced monthly in advance.

Invoices are payable within the period stated on the invoice. We may pause work on overdue accounts after written notice. All fees are exclusive of any applicable taxes, which are your responsibility unless stated otherwise.

7. Intellectual property and ownership

On receipt of full payment, we assign to you all rights in the custom source code, designs, and deliverables produced specifically for your project. Until payment is complete, all rights remain with us.

This assignment does not cover third-party components, open-source libraries, or commercial licences used within the project, which remain subject to their own licence terms. It also does not cover our pre-existing tools, internal libraries, and general know-how, which remain ours; where these are embedded in a deliverable, you receive a perpetual, non-exclusive licence to use them as part of that deliverable.

8. Revisions, cancellation, and refunds

Each scope document states how many rounds of revision are included at each stage. Further revisions are billed at our standard rate.

Either party may terminate an engagement with 14 days' written notice. On termination, you pay for all work completed and in progress up to the termination date, and we deliver the work produced to that point. Deposits cover work already scheduled and reserved and are non-refundable once a project has started. Where a project is cancelled before any work has begun, the deposit is refunded in full.

Monthly retainers may be cancelled at any time with effect from the end of the current paid month. Retainer fees for a month already in progress are not refunded.

9. Warranty

We warrant that deliverables will substantially conform to the agreed scope document. For 30 days after delivery, we will correct at no charge any defect in work delivered within scope. This warranty does not cover issues caused by changes made by you or a third party, changes to third-party services or operating systems, or requirements that were not part of the agreed scope.

Beyond this warranty, services are provided on an "as is" basis and we make no other guarantee, express or implied, including any guarantee of specific commercial results.

10. Limitation of liability

To the fullest extent permitted by law, our total liability arising from an engagement is limited to the total fees you paid us for that engagement. We are not liable for indirect, incidental, or consequential losses, including lost profits, lost revenue, lost data, or business interruption. Nothing in these terms excludes liability that cannot lawfully be excluded.

11. Confidentiality

Each party agrees to keep the other's confidential information private and to use it only for the purpose of the engagement. This obligation continues after the engagement ends.

12. Portfolio rights

Unless you tell us otherwise in writing, we may describe the work we did for you and display non-confidential screenshots or visuals of it in our portfolio and marketing materials.

13. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Disputes are subject to the exclusive jurisdiction of the courts of that state, unless the signed scope document specifies otherwise.

14. Changes to these terms

We may update these terms from time to time. The version in force at the date of your scope document applies to that engagement. Continued use of this website after changes are posted constitutes acceptance of the revised terms.
